At A2R Info Solutions, we place the highest priority on protecting client confidentiality and maintaining strong information security practices. Safeguarding client data is a core part of how we operate and applies to all engagements, without exception.

Our Confidentiality Commitments

  • We do not disclose any client information to third parties.
  • We do not use client names, identities, or brands for marketing or promotional purposes without prior written consent.
  • We do not share client references or details with prospective clients.
  • We do not sell, rent, or distribute client lists or confidential information under any circumstances.

Confidentiality Agreement

During the course of an engagement, clients may share information that is proprietary, sensitive, or confidential. To ensure appropriate protection of such information, the following terms apply.

Definition of Confidential Information

“Confidential Information” includes, but is not limited to, all non-public information disclosed by the client, whether written, oral, electronic, or visual, including:

  • Business, technical, and financial information
  • Accounting records, financial statements, and projections
  • Trade secrets, proprietary processes, and methodologies
  • Product or service information (existing or planned)
  • Research and development materials
  • Pricing, cost, margin, and profitability data
  • Customer, vendor, and client information
  • Marketing strategies and business plans

This information is considered confidential regardless of whether it is explicitly marked as “confidential” at the time of disclosure.

Use and Disclosure Restrictions

A2R Info Solutions agrees to:

  • Use confidential information solely for the purpose of providing agreed services.
  • Limit access to confidential information strictly to directors, officers, employees, or authorized contractors who have a legitimate need to know.
    Ensure that all internal personnel handling confidential information are bound by confidentiality obligations.
  • Not disclose confidential information to any third party unless required by applicable law or authorized in writing by the client.

Exclusions from Confidential Information

Confidentiality obligations do not apply to information that:

  • Was lawfully in A2R Info Solutions’ possession before disclosure by the client
  • Becomes publicly available through no fault of A2R Info Solutions
  • Is rightfully received from a third party without a duty of confidentiality
  • Is disclosed with the client’s written authorization
  • Is independently developed without reference to the client’s confidential information

Term and Modifications

This confidentiality agreement represents the complete understanding between A2R Info Solutions and the client regarding confidential information. Any modifications must be made in writing and signed by both parties. If any provision of this agreement is found unenforceable, the remaining provisions shall continue in full force and effect, with the unenforceable provision modified only to the extent necessary to maintain enforceability.

Responsibility for Unauthorized Use

Clients are responsible for ensuring that any access credentials, data, or systems shared are used appropriately. A2R Info Solutions shall not be liable for losses or damages resulting from unauthorized activities caused by client-side actions or breaches beyond our reasonable control.
